What these terms cover
These terms govern an estate's use of the StaffPass renewal and timekeeping service ("the Service"). They are indicative of the terms StaffPass intends to offer and will be superseded by the signed agreement between StaffPass and the estate, which takes precedence over anything here.
The Service
StaffPass provides software that imports worker and resident records from an estate's own access-control system, manages a two-stage approval workflow for domestic worker and driver access renewals, and, where licensed, builds shifts and timesheets from gate movement records. StaffPass is installed on infrastructure the estate controls and does not replace the estate's access-control system.
The estate's responsibilities
- Maintaining the hosting environment the Service runs on, including applying updates StaffPass provides.
- Accuracy of the data held in its own access-control system, which the Service relies on and mirrors.
- Deciding and configuring the rollout stage (shadow mode, beta group, full rollout) at which residents are messaged.
- Acting as the responsible party for the personal information of its residents and workers, as described in the Privacy Notice.
StaffPass's responsibilities
- Processing personal information only as instructed by the estate, and only to provide the Service.
- Not writing to the estate's access-control system outside the specific fields the Service documents, and never on a failed renewal approval.
- Providing updates and support for the Service as agreed separately with each estate.
Fees
Pricing is set out at staffpass.co.za/#pricing and is indicative, subject to confirmation in a signed order with each estate.
Availability
Because the Service runs on the estate's own infrastructure, its availability depends in part on that infrastructure and on the estate's own network and access-control system. StaffPass does not control either.
Limitation of liability
To the fullest extent permitted by law, StaffPass's liability under these terms will be limited as set out in the signed agreement with each estate. This draft does not itself constitute that agreement.
Termination
Either party may terminate as agreed in the signed order. On termination, data is handled as described in the data processing agreement in force for that estate.
Governing law
These terms are intended to be governed by the law of the Republic of South Africa, to be confirmed in the signed agreement.
